__________________ being duly sworn, deposes and states the following:

1. That he is the __________________ of ____________________ , Inc. ("Company"), owner in fee of premises identified on the tax map of the City of New York for County as tax lot _____ in Block ______ (the "Premises"), which Premises is the subject of a title report issued by the First American Title Insurance Company of New York ("First American") under its report numbered ____________ to insure the transfer of fee interest in said Premises, and that he is familiar with all of the facts relating to the Premises.

2. There are no tenants or other persons in possession or having a right to possession of the Premises.

3. There are no vaults beneath the surface of the street(s) used in connection with the Premises.

4. No New York State franchise tax and no New York City Business Corporation tax is due and owing from Company.

5. No work has been done upon the Premises by the City of New York and no demand has been made by the City for any work that may result in charges by the New York City Department of Environmental Protection for water tap closing or any related work or by the Department of Health.

6. All inspection fees and permit fees billed or to be billed for any period prior to closing by New York City’s Building Department and Fire Department have been or will be paid.

7. Company will pay any water and sewer charges entered in the records of the City Collector or the New York City Department of Environmental Protection after closing which relate to a period prior to closing not presently entered by reason of there being either no water meter reading or only an minimum, average or estimated water meter reading.

8. Company hereby indemnifies First American as to and undertakes to have discharged of record two sidewalk violations filed against tax lot _____ in Block ____ as set forth in title report No. _________ .

This affidavit is being made in order to induce the First American to issue policies of title insurance under its title No. ____________ and hereby indemnifies First American against any loss or damage, including reasonable legal fees and legal expenses, incurred by reason of First American’s reliance hereon.
