DECLARATION OF EXPIRATION OF LEASE

This DECLARATION is made this ____ day of __________, 19___ , by and between ___________________ , a New York general partnership having an office at _____________________ , New York, New York ("Landlord") and ______________________________, a _____________ having an office at ________________________ , New York, New York ("Tenant"). Landlord and Tenant are hereinafter collectively referred to as the "Declarants.

WITNESSETH

WHEREAS, ______________________, as landlord, and _____________ ___________, as tenant, entered into a lease dated __________ and recorded in Reel/Liber ______ page/cp ____ , relating to certain premises located at _____________ , New York, New York, as more particularly described in said lease (the "Premises") ; and

WHEREAS said lease was subsequently amended (the lease, as amended, is hereinafter referred to as the Lease); and

WHEREAS, Landlord acquired fee title to the Premises by deed dated ____________ and recorded _______ in Reel/Liber ______ Page/cp _____ and became successor in interest to the landlord under the Lease; and

WHEREAS, Tenant, by mesne assignment, is die successor-in-interest to the tenant under the Lease; and

WHEREAS, the Lease contains three renewal options, the first of which was exercised for a term expiring ____________ , and no subsequent renewal options were exercised; and

WHEREAS, the Declarants desire to memorialize the expiration of the Lease.

NOW, THEREFORE, the Declarants do hereby declare that the Lease has expired by its terms and is of no further force and effect.
